Christian J. Hoffmann III, a Partner in the law firm Quarles & Brady LLP in Phoenix, Arizona has been retained as legal counsel for matters pertaining to SEC registration, Corporate Charter, and amendments as may be required to complete our S-1 business registration in preparation for BCI Protocol’s filing to go public. Mr. Hoffmann, an alumnus of Georgetown University, magna cum laude, has been admitted to the BAR association in Arizona and the District of Columbia, has Court Admissions in US District Court, District of Arizona, is listed in Chambers USA, and is Martin Hubbell AV® peer rated, and selected "Best of the Bar" for securities and corporate finance work by the Arizona Business Journal readers' poll. “We are looking forward to a prosperous and long term relationship with Christian” said Jack Duffy, President & CEO of BCI Protocol. Mr. Hoffmann also was named four years in a row as one of the Best Lawyers in America for Corporate/Mergers and Acquisitions. Chambers' publication cited him for his "broad spectrum of deals including M&A, venture capital and private equity transactions, and public offerings of debt and equity securities" and for "excellent judgment."
The accounting firm of Turner, Stone & Company, LLP has been retained to perform the audit of BCI Protocol financials, required to register BCI Protocol with the SEC under our S-1 filing. Turner, Stone & Company is an independent registered public accounting firm with the PCAOB, and regularly assists publicly owned companies with quarterly and annual filings with the Securities and Exchange Commission and also perform audits following Government Auditing Standards and the requirements of ERISA and the DOL relating to employee benefit plans. The Turner, Stone & Company team will be led by Mr. Larry Yurcho, CPA, a partner in the firm, who brings over 40 years of experience in his field through them. Mr. Yurcho is a member of the American Institute of CPAs and the Texas Society of CPAs. “We are excited to have Turner, Stone & Company on board with our team to provide us with these services on the road to going public”, said Norm Knoflach, CFO for BCI Protocol.
Selection of a transfer agent for stock issuance and registrations is underway
“Investor subscriptions continue to grow. These investments will be allowed until S-1 filings preclude same”, said Jack Duffy. Mr. Duffy also added, “We are eager to close out our PPM and proceed to the public market”.
